Client

The scope, deliverables, timeline, and fees for any project are defined in a separate statement of work or service agreement signed by both parties. No binding obligation arises from this Website alone.

The Company reserves the right to decline any project or engagement at its sole discretion.

6. Fees and Payment

Fees for Services are set out in the applicable statement of work. Unless otherwise agreed:

• Invoices are payable within 30 calendar days of the invoice date.
• Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
• The Company reserves the right to suspend work if payment is overdue by more than 15 days.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Company shall not be liable for any indirect, consequential, or incidental damages arising from or related to the use of the Website or the provision of Services.
• The Company’s total aggregate liability for any claim arising from or related to an engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
• The Website is provided on an as-is and as-available basis without any warranty, express or implied.

8. Confidentiality

The Company agrees to keep confidential all non-public information disclosed by the Client in the course of an engagement. This obligation survives the termination of the engagement for a period of 3 years.

Confidential information does not include information that: is or becomes publicly available through no fault of the Company; was already known to the Company prior to disclosure; or is independently developed by the Company without reference to the Client’s confidential information.

9. Termination

Either party may terminate an engagement by providing 30 days’ written notice. The Company may terminate an engagement immediately if the Client materially breaches these Terms or fails to pay undisputed invoices within 45 days of the due date.

Upon termination, the Client shall pay for all work completed up to the effective date of termination, plus any non-cancellable third-party costs incurred.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute arising from these Terms or the provision of Services shall be subject to the exclusive jurisdiction of the courts of Wuhu, Anhui Province.

11. Changes to These Terms

We may revise these Terms from time to time. The revised Terms will apply to the use of our Website from the date of publication. Continued use of the Website after any changes constitutes your acceptance of the revised Terms.
